Dear Sir/Madam,

With reference to the captioned subject, we would like to inform you that Adani Airport Holdings Limited, (“ AAHL ”), a wholly owned subsidiary of the Company, has executed a Share Purchase Agreement on November 12, 2025 (“ SPA ”) with AGHPort Aviation Services Private Limited (“ AGHPort ”) and Indo Thai Airport Management Services Private Limited (“ Equity Seller ”) to acquire 100% stake in AGHPort. The Information in this regard has been received by the Company on November 13, 2025 at 3:13 PM.

The details as required under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated 11[th] November, 2024 are given as under:
