Sub: Intimation of entering to into an agreement for acquisition of 100% equity share capital of Portus Ventures Private Limited by Adani Airport City Limited, a wholly owned step-down subsidiary of the Company.

Dear Sir/Madam,

With reference to the captioned subject, we would like to inform you that Adani Airport City Limited, ("AACL"), a wholly owned step down subsidiary of the Company, has executed a Share Purchase Agreement on June 08, 2026 ("SPA") with Portus Ventures Private Limited ("PVPL") and existing shareholders of PVPL for acquisition of 100% equity shares in PVPL. Information in this regard has been received by the Company on June 08, 2026 at 05:40 PM.

The details of the above acquisition (as required to be furnished pursuant to Regulation 30 read with Para A of Part A of Schedule III of SEBI Listing Regulations and SEBI Circular No. SEBI/HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated 30th January, 2026) are enclosed as Annexure 1.
