Capital Raising Correction

Activeport Group Ltd (ASX:ATV) ("Activeport" or "the Company") refers to its announcement dated 22 September 2025 titled "Activeport Successfully Completes $6.8m Placement", its Sep-25 Quarterly Activities Report announced on 29 October 2025 and its Dec-25 Quarterly Activities Report announced on 30 January 2026.

These announcements refer to firm commitments including $660K by Directors and senior management to subscribe for ATV shares at an issue price of $0.033 per share, which comprised $600k by Directors, subject to shareholder approval, (“Director Placement”) and $60k by senior management, as part of the capital raising placement announced on 22 September 2025 (“Placement”).

The $60k for senior management was included in the shareholder approval at a meeting held on 7 November 2025. That shareholder approval expired 3 months after the date of the meeting.

Shareholder approval for directors to subscribe for the Director Placement was finally obtained at the Company’s Annual General Meeting on 26 November 2025 (“AGM”). By that time, the funding that the directors and senior management had arranged for the Placement was no longer available. Shareholder approval for the Director Placement expired one month after the AGM.

The Directors are considering alternate funding options and any future placement to Activeport directors will be subject to shareholder approval..

We note that Activeport directors have subscribed a total of over $1.4 million for ATV securities since October 2023 and they have every intention of continuing to subscribe for further ATV securities as and when appropriate circumstances arise.
