PUBBLICAZIONE DELL'ORIENTAMENTO DEL CONSIGLIO DI AMMINISTRAZIONE SULLA COMPOSIZIONE QUANTITATIVA E QUALITATIVA DELL'ORGANO AMMINISTRATIVO

Milano, 14 novembre 2023 - AbitareIn S.p.A., (la "Società"), società milanese leader nello sviluppo residenziale, quotata sul mercato Euronext Milan, segmento Euronext STAR Milan (Ticker: ABT.MI), rende noto che in data odierna il Consiglio di amministrazione, anche tenuto conto degli esiti dell'attività di autovalutazione, ha approvato il proprio orientamento sulla composizione quantitativa e qualitativa dell'organo amministrativo ritenuta ottimale (l'"Orientamento").

Con l'approvazione del bilancio al 30 settembre 2023 scadrà, infatti, il mandato dell'attuale Consiglio di amministrazione e gli azionisti saranno, tra l'altro, chiamati a rinnovare l'organo amministrativo.

Gli azionisti sono invitati a tenere debito conto delle indicazioni espresse nell'Orientamento, restando ovviamente salva la loro facoltà di svolgere autonome e diverse valutazioni sulla migliore composizione dell'organo di amministrazione, con l'auspicio che, tuttavia, lo scostamento delle candidature rispetto alle indicazioni espresse nel predetto documento sia contenuto.

PUBLICATION OF THE BOARD OF DIRECTORS' GUIDANCE ON THE QUANTITATIVE AND QUALITATIVE COMPOSITION OF THE ADMINISTRATIVE BODY

Milan, November 14, 2023 - AbitareIn S.p.A., (the "Company"), a Milan-based leading residential development company listed on the Euronext Milan market, Euronext STAR Milan segment (Ticker: ABT.MI), hereby announces that today the Board of Directors, taking into account the outcomes of the self-assessment activity, has approved its guidance on the optimal quantitative and qualitative composition of the administrative body (the "Guidance").

With the approval of the financial statements as of September 30, 2023, the mandate of the current Board of Directors will expire, and shareholders will, among other things, be called upon to renew the administrative body.

Shareholders are invited to duly consider the indications expressed in the Guidance, while of course retaining their autonomy to carry out independent and diverse assessments on the best composition of the administration body. It is hoped, however, that any divergence of candidates from the indications expressed in the aforementioned document will be limited.

The Guidance has been made available to the public at the company's headquarters, on the Company's website at www.investors.abitareinspa.com (Corporate Governance/Company Documents section), as well as on the authorized storage mechanism 1IINFO, at /PORTALE.
