• A] Ms. Anisha Motwani (DIN: 06943493), Independent Director, will be completing her second term as an Independent Director of the Company on April 24, 2026. Accordingly, she ceases to be the Director of the Company with effect from the close of business hours on April 24, 2026. B] Appointment of Mr. Neeraj Jain (DIN: 00348591) as an Additional Director designated as an Independent Director, with effect from April 25, 2026

Upon recommendation of the Nomination and Remuneration Committee, the Board of Directors has approved the appointment of Mr. Neeraj Jain (DIN: 00348591) as an Additional Director, designated as an Independent Director on the Board of the Company for a period of 3 (three) consecutive years with effect from April 25, 2026, subject to approval of the Members of the Company. • C] Ms. Alison Davies (DIN: 10658884), has tendered her resignation as Director of the Company, with effect from close of business hours of April 22, 2026, on account of other professional commitments. D] Appointment of Mr. James Wenner (DIN: 11650998) as Additional (Non-Executive) Director with effect from April 23, 2026

Upon recommendation of the Nomination and Remuneration Committee, the Board of Directors has approved the appointment of Mr. James Wenner (DIN: 11650998) as an Additional (Non-Executive) Director of the Company with effect from April 23, 2026, subject to approval of the Members of the Company. • E] Mr. Tushar Singh, Plant Director - Goa, has been assigned to another affiliate of Abbott with effect from June 1, 2026. He will serve his role as Plant Director - Goa with Abbott India Limited until May 31, 2026. Pursuant to the above, he will also cease to be the Senior Management Personnel of the Company with effect from May 31, 2026. F] Appointment of Senior Management Personnel

Upon recommendation of the Nomination and Remuneration Committee, the Board of Directors has approved the appointment of Mr. Amol Metkar as Plant Director - Goa with effect from June 1, 2026. Mr. Jain’s key areas of expertise include strategic business partnering, process excellence, controllership, M&A, business reorganization and talent development. Mr. Jain began his career in management consulting at A F Fergusons. He subsequently spent seventeen years with HUL, holding positions of increasing responsibility, the last being the General Manager, Commercial (Exports). He led and executed several M&A and divestment deals, set up joint venture overseeing finance, IT, procurement and HR. Later he reorganized the exports business where he was also the board member of Ponds Exports Limited. Mr. Jain later joined J&J, where he served for thirteen years in senior leadership roles, including Vice President Finance/ Chief Financial Officer. He was a member of the India Management Board and served as a director on the board of the orthopaedics business. He introduced the finance business partnering model in India, led process simplification and standardization while driving compliance and cost optimization. Mr. Metkar currently serves as Associate Director – Production at Abbott’s Established Pharmaceuticals Division (EPD) in Baddi, where he leads the Oral Dosage Forms (ODF) manufacturing operations across tablets, capsules, and liquids. Prior to joining Abbott, Mr. Metkar worked at Lupin, Sanofi, Cipla, and Ranbaxy.
