Re: Notice of Change of Auditor for Allegiant Gold Ltd. (“Allegiant”)

Dear Sir/Madam:

Pursuant to Section 4.11 of National Instrument 51-102 respecting Continuous Disclosure Obligations, Allegiant hereby informs you of the following:

1. At the request of Allegiant, DMCL has resigned as auditor of Allegiant on June 18, 2020.

2. On June 18, 2020, Allegiant has appointed DC to replace DMCL as auditor.

3. The resignation of DMCL and the appointment of DC were considered and recommended by the Audit Committee of Allegiant and approved by the Board of Directors of Allegiant.

4. DMCL expressed no modified opinion with respect to its audit reports for the years ended September 30, 2019 and 2018.

5. There are no reportable events with respect to the audit for the years ended September 30, 2019 and 2018.
