Obwieszczenie o odmowie zatwierdzenia układu spółki zależnej Aforti Collections S.A.

Zarząd AFORTI Holding S.A. w restrukturyzacji z siedzibą w Warszawie (dalej: "Spółka") informuje, iż

w dniu 21 października 2025 roku powziął informację o obwieszczeniu postanowienia Sądu

Okręgowego w Warszawie, XXIII Wydział Gospodarczy Odwoławczy i Zamówień Publicznych (dalej: Sąd

II Instancji) w przedmiocie rozpoznania zażalenia Spółki i Aforti AC sp. z o.o. na postanowienie z dnia

16 grudnia 2024 r. w przedmiocie zatwierdzenia układu spółki zależnej Aforti Collections S.A.

Sąd II Instancji postanowieniem z dnia 21 października 2025 roku zmienił zaskarżone postanowienie

i odmówił zatwierdzenia układu Aforti Collections S.A., co jest zgodne z oczekiwaniami Spółki z uwagi

na przyjętą strategię i realizowany plan restrukturyzacyjny Spółki, którego częścią jest Aforti Collections

S.A.

Notice of refusal to approve the arrangement of the subsidiary Aforti Collections S.A.

The Management Board of AFORTI Holding S.A. under restructuring, with its registered office in

Warsaw (hereinafter referred to as the "Company") hereby announces that on October 21, 2025, it was

notified of the announcement of the decision of the District Court in Warsaw, 23rd Commercial Appeals

and Public Procurement Division (hereinafter referred to as the "Court of Second Instance") regarding

the consideration of the appeal filed by the Company and Aforti AC sp. z o.o. against the decision of

December 16, 2024, regarding the approval of the arrangement of the subsidiary Aforti Collections S.A.

By its decision of October 21, 2025, the Court of Second Instance amended the appealed decision and refused to approve the arrangement of Aforti Collections S.A., which is consistent with the Company's expectations given the adopted strategy and the implemented restructuring plan of the Company, of which Aforti Collections S.A. is a part.
