MOTA-ENGIL INFORMS ABOUT THE CHANGE IN THE PERCENTAGE OF CAPITAL AND VOTING RIGHTS ATTRIBUTABLE TO MOTA – GESTÃO E PARTICIPAÇÕES, SGPS, S.A.

Under the terms and for the purposes of the applicable legislation, we hereby inform you that we have received from Mota – Gestão e Participações, SGPS, S.A. ("MGP"), the major shareholder of Mota – Engil, S.G.P.S, S.A., the following information that impacts the percentage of capital and the voting rights attributable to MGP:

(i) Following a General Shareholders Meeting held by MGP this month, Mr. António Manuel Queirós Vasconcelos da Mota ceased its functions in the Board of Directors, having been replaced by Mr. Manuel António da Fonseca Vasconcelos da Mota, being the shares held by him in Mota – Engil, S.G.P.S, S.A. now being attributable to MGP;

(ii) Furthermore, Mr. António Manuel Queirós Vasconcelos da Mota donated (over the counter), to its sons and daughters listed below, 1,789,780 MGP shares (447,445 shares to each one), representing 28% of its share capital:

• a) Mr. Manuel António da Fonseca Vasconcelos da Mota;
• b) Ms. Maria Sílvia da Fonseca Vasconcelos da Mota;
• c) Mrs. Maria Inês da Fonseca Vasconcelos da Mota Sá;
• d) Ms. Maria Luísa da Fonseca Vasconcelos da Mota.

Following the above events, as detailed below, 123,684,553 shares corresponding to 40.32% of the share capital of Mota-Engil, SGPS, S.A. are attributable to MGP.
