Fasadgruppen resolves on a directed share issue to the sellers of OPN Enterprise A/S

The board of directors of Fasadgruppen has, in accordance with the press release on 15 October 2021 and based on the authorisation from the annual general meeting on 18 May 2021, resolved on a directed share issue of 44,837 shares to the sellers of OPN Enterprise A/S ("OPN").

On 15 October 2021, Fasadgruppen announced that it had entered into an agreement to acquire all shares in OPN. A part of the purchase price consisted of a so-called vendor note of MDKK 5.5 (corresponding to approx. MSEK 7.5), which the sellers of OPN agreed to set off against new shares in Fasadgruppen. In order to settle the vendor note, the board of directors of Fasadgruppen has today resolved, based on the authorisation from the annual general meeting on 18 May 2021, on a directed share issue of 44,837 shares in Fasadgruppen. The subscription price, which according to the share purchase agreement was to correspond to the volume-weighted average price for the Fasadgruppen share during the period 15 September–26 October 2021, amounted to SEK 164.83 per share.

Following the directed share issue, the total number of shares and votes in Fasadgruppen amounts to 45,387,653 shares and votes. The share capital increases with SEK 2,241.85 to a total of SEK 2,269,382.65.
