THE BOARD OF DIRECTORS CONVENES THE ORDINARY SHAREHOLDERS' MEETING ON 30 JULY 2025 FOR THE APPOINTMENT OF THE STATUTORY AUDITOR

Milan, 11 July 2025 – The Board of Directors of Cloudia Research S.p.A., an Innovative SME operating in the digital transformation sector with a specialized offering in ERP (Enterprise Resource Planning), Cloud, and AI solutions ("Cloudia Research" or the "Company"), listed on Euronext Growth Milan, met today under the chairmanship of Marcantonio Angelo Merafina and resolved to convene the Ordinary Shareholders' Meeting on 30 July 2025, at 3:00 PM, in a single call, to be held exclusively via audio-video conference.

The purpose of the meeting is to appoint the audit firm responsible for the statutory audit of the Company's accounts for the financial years 2025-2027.

In line with the practices already adopted by Cloudia Research, the following documents will be made available to the public within the terms established by law:

• 1. Notice of Meeting;
• 1. Explanatory Report of the Board of Directors containing the proposed resolutions;
• 1. Proxy form and related voting instructions for the Designated Representative;
• 1. Reasoned opinion issued by the Board of Statutory Auditors.
