Appointment of a new member of the Management Board of mBank S.A.

The Management Board of mBank S.A. ("Bank") announces that under aresolution of the Bank's Supervisory Board of 10 June 2016 ChristophHeins was appointed as Vice-President of the Management Board, ChiefFinancial Officer, as of 1 July 2016 until the end of the current termof the Management Board.

Mr Heins embarked on his career in 1988 in Dresdner Bank. Since then heoccupied many positions in Commerzbank Group, both in Germany andabroad, gaining valuable experience in the front office, back office andsupport area. In 2008 Mr Heins was appointed as CFO in Commerzbank'sbranch in New York and performed this function until his return toFrankfurt in 2012. Currently, Mr Heins is the Head of Group Controlling,a unit in charge of financial reporting and planning at CommerzbankGroup.

Mr Heins graduated from Bankakademie in Frankfurt am Main (currently:Frankfurt School of Finance and Management) in 1996 and obtained amaster's degree in banking (Diplom-Bankbetriebswirt (BA)).

To the best of the knowledge of the Management Board of the Bank, MrHeins is not involved in activities competitive to the Bank.

Christoph Heins has no records in the Register of Insolvent Debtorsmaintained under the National Court Register Act.
