Temat: Informacja o transakcjach osób mających dostęp do informacji poufnych

Zarząd Spółki Aforti Holding S.A. (dalej Emitent) informuje, że dnia 05 kwietnia 2017 roku otrzymał zawiadomienie od Rowing Capital Limited, P.C.H. Futuris Capital (Cyprus) Limited, Piotra Chmielewskiego, P.C.H. Capital S.A., Futuris S.A. i Futuris Capital (Cyprus) Ltd. o dokonaniu w dniu 03 kwietnia 2017 roku przez Futuris Capital (Cyprus) Ltd. transakcji sprzedaży 1.759.980 sztuk akcji spółki Aforti Holding Spółka Akcyjna z siedzibą w Warszawie o wartości nominalnej 1,00 zł każda akcja, które stanowią 22,56 % w kapitale zakładowym oraz ogólnej liczbie głosów spółki Aforti Holding S.A.

Przed wyżej wskazaną transakcją Futuris Capital (Cyprus) Ltd. posiadała bezpośrednio, a pozostałe podmioty zawiadamiające pośrednio, 1.762.099 sztuk akcji Aforti Holding S.A., które stanowiły 22,59% w kapitale akcyjnym oraz w ogólnej liczbie głosów.

Po wyżej wskazanej transakcji Futuris Capital (Cyprus) Ltd. posiada bezpośrednio, a pozostałe podmioty zawiadamiające pośrednio, 2.119 sztuk akcji Aforti Holding S.A., które stanowią 0,03% w kapitale akcyjnym oraz w ogólnej liczbie głosów 7 801 895.

W zawiadomieniu poinformowano również, iż:

• Pan Piotr Chmielewski kontroluje Rowing Capital Ltd.,
• Rowing Capital Ltd. posiada 100% akcji P.C.H. Capital S.A.,
• P.C.H. Capital S.A. kontroluje P.C.H. Capital (Cyprus) Ltd.,
• P.C.H. Capital S.A. oraz P.C.H. Capital (Cyprus) Ltd. są podmiotem dominującym wobec Futuris S.A.,
• Futuris S.A. kontroluje Futuris Capital (Cyprus) Ltd.

Subject: Information on transactions by persons having access to confidential information

The Management Board of Aforti Holding S.A. (hereinafter the "Issuer") informs that on 5th April 2017 a notification was received from Rowing Capital Limited, P.C.H. Futuris Capital (Cyprus) Limited, Piotr Chmielewski, P.C.H. Capital S.A., Futuris S.A. and Futuris Capital (Cyprus) Ltd. on a sales transaction concluded on 3rd April 2017 under which 1,759,980 shares in Aforti Holding Spółka Akcyjna with its registered office in Warsaw of the nominal value PLN 1 each, constituting 22.56% of the share capital and total number of votes of Aforti Holding S.A. were sold.

Prior to the above-mentioned transaction Futuris Capital (Cyprus) Ltd. had held directly and the remaining entities indirectly, 1,762,099 shares in Aforti Holding S.A. constituting 22.59% of the share capital and total number of votes.

Following the above-mentioned transaction Futuris Capital (Cyprus) Ltd. holds directly and the remaining entities indirectly,2,119 shares in Aforti Holding S.A. constituting 0.03% of the share capital and the total number of votes i.e. 7,801,895.

The notification informed also that:

• Mr Piotr Chmielewski controls Rowing Capital Ltd.,
• Rowing Capital Ltd. holds 100% shares in P.C.H. Capital S.A.,
• P.C.H. Capital S.A. controls P.C.H. Capital (Cyprus) Ltd.,
• P.C.H. Capital S.A. and P.C.H. Capital (Cyprus) Ltd. are parent entities in relation to Futuris S.A.,
• Futuris S.A. controls Futuris Capital (Cyprus) Ltd.
