Zmiana formy prawnej spółki zależnej Aforti Exchange

Zarząd Aforti Holding S.A. z siedzibą w Warszawie (dalej: "Emitent", "Spółka") informuje, że w dniu 21 lutego 2018 roku powziął informację o zarejestrowaniu przez Sąd Rejonowy w Warszawie XII Wydział Gospodarczy Krajowego Rejestru Sądowego w dniu 20 lutego 2018 r. przekształcenia spółki zależnej – Aforti Exchange Sp. z o.o. w spółkę akcyjną pod firmą Aforti Exchange S.A.

Kapitał zakładowy Aforti Exchange S.A. wynosi 2 630 000, 00 zł i dzieli się na 26 300 akcji zwykłych okaziciela o wartości nominalnej 100 zł każda.

Aforti Exchange S.A. jest spółką z portfela Emitenta, w której posiada on 26 300 akcji, które stanowią 100 % udziału w kapitale zakładowym spółki oraz w ogólnej liczbie głosów na Walnym Zgromadzeniu Akcjonariuszy.

Aforti Exchange S.A. świadczy usługi wymiany walut dla firm za pośrednictwem funkcjonalnej platformy on-line. Oferuje swoim Klientom hurtowe kursy walut i możliwość negocjacji stałych rabatów. Stanowi jedyną taką platformę dla Przedsiębiorców.

Changing of the legal form of subsidiary Aforti Exchange

The board of Aforti Holding S.A. ("the Company", "the Issuer") headquartered in Warsaw hereby announces to the public that on 21 February 2018 became aware that District Court in Warsaw, 12th Commercial Division of the National Court Register on 20 February 2018 registered changing of subsidiary Aforti Exchange Sp. z o. o. - limited liability company for the join-stock company: Aforti Exchange S.A.

The share capital of Aforti Exchange S.A. is 2 630 000, 00 PLN and is divided into ordinary 26 300 bearer shares with a nominal value of 100 zł PLN each.

Aforti Exchange S.A. is a company from the Issuer's portfolio in which it has 26 300 shares which constitute 100 % share in the share capital and in the total number of votes at the General Meeting of Shareholders.

Aforti Exchange S.A. provides currency exchange services for companies via a functional on-line platform. It offers its clients wholesale exchange rates and the possibility of negotiating permanent discounts. It is the only such platform for Entrepreneurs.
