Uzyskanie licencji niebankowej instytucji finansowej przez spółkę zależną Aforti Finance Romania IFN S.A.

Zarząd Aforti Holding S.A. z siedzibą w Warszawie (dalej: "Spółka", "Emitent"), w nawiązaniu do raportu bieżącego ESPI nr 13/2018 z dn. 18.04.2018 r., informuje, że w dn. 31 października 2018 r. powziął informację, że spółka Aforti Finance Romania IFN S.A. z siedzibą w Bukareszcie (dalej: "Aforti Finance Romania"), której akcjonariuszem dominującym jest spółka zależna Emitenta: Aforti Finance S.A. z siedzibą w Warszawie, uzyskała licencję niebankowej instytucji finansowej wydaną przez Narodowy Bank Rumunii.

Aforti Finance Romania została zarejestrowana 17 kwietnia 2018 roku w celu realizacji strategii rozwoju Grupy Kapitałowej Aforti na lata 2018-2020 w zakresie prowadzenia ekspansji zagranicznej Grupy Kapitałowej Emitenta. Licencja niebankowej instytucji finansowej (IFN) pozwoli na rozpoczęcie działalności operacyjnej Aforti Finance Romania opierającej się na udzielaniu pożyczek pozabankowych małym i średnim przedsiębiorcom (MSP), dzięki którym beda oni mogli finansować swój rozwój oraz działalność bieżącą.

Akcjonariuszem dominującym Aforti Finance Romania jest spółka Aforti Finance S.A. z siedzibą w Warszawie, posiadająca 99,99 proc. udziału w kapitale zakładowym oraz w ogólnej liczbie głosów na walnym zgromadzeniu akcjonariuszy. Jednocześnie, Aforti Finance S.A. pozostaje spółką zależną Emitenta, który posiada 72,07 proc. udziału w jej kapitale zakładowym oraz w ogólnej liczbie głosów na walnym zgromadzeniu akcjonariuszy.

Obtaining a non-banking financial institution license by a subsidiary Aforti Finance Romania IFN S.A.

The board of Aforti Holding S.A. ("the Company", "the Issuer") headquartered in Warsaw, in reference to the current report of ESPI No. 13/2018 dated on 18/04/2018, hereby announces to the public that on October 31, 2018 it received information that a company Aforti Finance Romania IFN S.A. with its registered office in Bucharest (hereinafter: "Aforti Finance Romania") whose dominant shareholder is the Issuer's subsidiary: Aforti Finance SA with its registered office in Warsaw, obtained a license of a non-banking financial institution given by the National Bank of Romania (hereinafter: "NBR").

Aforti Finance Romania was registered on April 17, 2018 in order to implement the Aforti Group's development strategy for 2018-2020 in the area of foreign expansion of the Issuer's Capital Group.

The license of a non-banking financial institution (IFN) will allow Aforti Finance Romania to start operating activity based on granting non-bank loans to small and medium-sized enterprises (SMEs), thanks to which they will be able to finance their development and current operations.

Aforti Finance S.A. with headquarters in Warsaw is the dominant shareholder of Aforti Finance Romania, which holds 99.99 percent of share in the share capital and in the total number of votes at the general meeting of shareholders. At the same time, Aforti Finance S.A. remains a subsidiary of the Issuer, which holds 72.07 percent of share in its share capital and in the total number of votes at the general meeting of shareholders.
