Theindividual recommendation of the Polish Financial Supervision Authorityregardingthe retention of 2018 net profit

TheManagement Board of mBank S.A. ("Bank") informs that the Bank receivedfrom the Polish Financial Supervision Authority ("PFSA") arecommendation dated February 25, 2019 to increase own funds byretaining by the Bank the entire net profit generated between January 1and December 31, 2018.

Inits recommendation the PFSA confirmed, that as of December 31, 2018,in terms of thebasic criteria of the dividend policy of commercial banks, the Bank metthe requirements for dividend payment in the amount of 75% of the netprofit generated between January 1 and December 31, 2018. After applyingadditional criteria related to a significant portfolio of foreigncurrency housing loans for households held by the Bank, the dividendpayout ratio was adjusted by 80 pp. Consequently, the dividend payoutratio after application of the additional criteria amounts to 0%.
