Decision of the Management Board of mBank S.A. regarding distribution ofprofit earned in 2018, without payment of dividend from profit earned in2018

The Management Board of mBank S.A. ("Bank") announces that on 27February 2019 the Management Board adopted a resolution on providing theOrdinary General Meeting with motions regarding division of the 2018profit in the following manner:

The net profit earned by mBank S.A. in 2018, amounting to PLN1,317,484,333.94 shall be allocated: in the amount of PLN 248,157,618.16to the losses from previous years.

The remaining part of profit in the amount of PLN 1,069,326,715.78 isleft undivided.

The motion regarding distribution of profit does not envisage payment ofdividend.

The resolution of the Management Board of the Bank on the submission ofthe motion concerning the distribution of the net profit generated in2018 for consideration of the Annual General Meeting of the Bank wassubmitted for evaluation to the Supervisory Board pursuant to Article382 § 3 of the Code of Commercial Companies.

The Supervisory Board shall assess the proposal of the Management Boardconcerning division of the 2018 profit on 1 March 2019 at the latest.The Bank shall inform about the result of the assessment in a separatereport.
