Change in the Resolution of the Management Board of mBank S.A. ofFebruary 28, 2020, on the motion regarding division of the 2019 profit

With reference to the current report no. 5/2020 of February 28, 2020,the Management Board of mBank S.A. ("Bank") informs that on March 10,2020, it adopted a resolution to amend the resolution of February 28,2020, on division of the 2019 profit and undivided profits from previousyears, as regards division of the 2019 profit.

The Bank's Management Board decided to submit for consideration by theOrdinary General Meeting a motion regarding division of the 2019 profitin the following manner:

The net profit earned by the Bank in 2019, amounting to PLN 980 979554.44 shall be allocated: in the amount of PLN 48 702 922.05 to thedividend for shareholders of the Bank, and the amount of dividend perone share shall amount to PLN 1.15.

The remaining part of profit in the amount of PLN 932 276 632.39 is leftundivided.

The Management Board of the Bank recommends that the dividend day is May14, 2020 (dividend day) and the dividend payment date is May 28, 2020(the dividend payment date).

The change in the decision of the Management Board is a consequence ofreceiving the recommendation of the Polish Financial SupervisionAuthority of March 6, 2020, allowing the Bank for the dividend pay-outof up to 5% of net profit generated between January 1 and December 31,2019.

A resolution of the Management Board will be submitted for assessment bythe Supervisory Board in accordance with art. 382 § 3 of the Code ofCommercial Companies.
