Change of the recommendation of the Supervisory Board regarding divisionof the 2019 profit

With reference to current reports No. 12/2020 of March 16, 2020, and No.14/2020 and No. 15/2020 of March 26, 2020, the Management Board of mBankS.A. informs that the Supervisory Board, by Resolution No. 238/20 ofMarch 27, 2020, changed recommendation regarding division of the 2019profit described in the current report No. 12/2020.

The Supervisory Board gave a positive opinion on the Management Board'smotion to leave the net profit earned by mBank S.A. in 2019 amounting toPLN 980 979 554.44 undivided.

In connection with the above, the Supervisory Board recommends theXXXIII Ordinary General Meeting of Shareholders to adopt the ResolutionNo. 3 regarding division of the 2019 net profit in accordance within thewording indicated in the draft presented in the current report No.15/2020 of March 26, 2020.
