Zawiadomienie o podpisaniu listu intencyjnego

Zarząd Aforti Holding S.A. z siedzibą w Warszawie dalej: "Spółka", "Emitent" informuje, iż w dniu dzisiejszym, tj. 19 czerwca 2020 r. Spółka zależna od Emitenta – Aforti Collections S.A. z siedzibą w Warszawie podpisała z Panem Klaudiuszem Sytkiem (Prezesem Zarządu i głównym akcjonariuszem Emitenta)"), list intencyjny na mocy którego, Strony postanowiły poczynić wszelkie działania zmierzające do nabycia przez Pana Klaudiusza Sytka akcji Emitenta będących w posiadaniu spółki Aforti Collections S.A. w ilości nie większej niż 36 000 sztuk za jednostkową cenę 45 zł.

Na mocy nabycia przedmiotowych akcji Aforti Holding S.A Pan Klaudiusz Sytek ponownie, bezpośrednio zwiększyłby zaangażowanie w akcjonariat Emitenta.

Szczegółowe zasady i sposób realizacji poszczególnych działań, o których mowa powyżej, ustalane będą w odrębnie zawieranych umowach.

Notification of signing the letter of intent

The Management Board of Aforti Holding S.A. with its registered office in Warsaw, hereinafter referred to as "the Company", "Issuer" informs that today, i.e. 19 June 2020 The Issuer's subsidiary - Aforti Collections S.A. with its registered office in Warsaw signed a letter of intent with Mr Klaudiusz Sytek (President of the Management Board and main shareholder of the Issuer), on the basis of which the Parties decided to take all actions aimed at purchasing by Mr Klaudiusz Sytk the Issuer's shares held by Aforti Collections S.A. in a quantity not exceeding 36 000 pieces for a unit price of PLN 45.

By virtue of purchasing the said shares of Aforti Holding S.A., Mr Klaudiusz Sytek would again directly increase his involvement in the Issuer's shareholder structure.
