Assimilation and Conversion and assimilation of 1,000 mBank S.A.'sshares by the National Depository for Securities (KDPW) and admitting1,000 shares of mBank S.A. to trading on a stock exchange on the primarystock market and the date of first quotation of those shares after theirconversion

The Management Board of mBank S.A. ("Bank") informs that it learned thatthe Management Board of the Giełda Papierów Wartościowych w WarszawieS.A. (Warsaw Stock Exchange), by its resolution of 26 June 2020, decidedto admit, under regular procedures, 1,000 shares of the Bank to stockexchange trading in the primary market as of 26 June 2020 those sharesare coded by Krajowy Depozyt Papierów Wartościowych SA (the NationalDepository for Securities) as PLBRE0000020.

The admission of the said shares of the Bank to stock exchange tradingas of 26 June 2020 will take place on the condition that the NationalDepository for Securities converts the aforesaid registered shares ofthe Bank into ordinary bearer shares, and upon their assimilation withthe Bank's shares traded on the stock exchange under the codePLBRE0000012, on 26 June 2020.

At the same time Management Board of the Bank announces that it learnedthat on 23 June 2020, the National Depository for Securities decided toassimilate on 26 June 2020 1,000 ordinary bearer's shares of the Bank,created after the conversion of 1,000 ordinary registered shares of theBank having the code PLBRE0000020, to 42,338,367 ordinary bearer'sshares of the Bank having the code PLBRE0000012.

The shares covered by the assimilation are given the code PLBRE0000012.

As of 26 June 2020:

1) 42,339,369 shares of the Bank bear the code PLBRE0000012,

2) 11,000 shares of the Bank bear the code PLBRE0000020.
