Registration of 7,826 shares of mBank S.A. in the Central SecuritiesDepository of Poland (KDPW)

The Management Board of mBank S.A., with its registered office in Warsaw("Bank"), announces that on 3 August 2020 it learned about the OperatingDepartment of the Central Securities Depository of Poland (KDPW)Statement that 7,826 of ordinary bearer shares of the Bank with thenominal value of PLN 4 per share would be registered on 4 August 2020.

The aforementioned shares were issued based on resolution No. 38 of theAnnual General Meeting of the Bank dated 9 May 2018 on the issue ofsubscription warrants, conditional share capital increase withdivestment of the existing shareholders' pre-emptive right tosubscription warrants and shares, change of the company's by-Laws and onapplying for admission of shares to trading on the regulated market, anddematerialisation of shares. Underlying the registration of the saidshares is Statement No. 627/20 of KDPW dated 14 July 2020.

All the newly issue shares will be registered under the following codePLBRE0000012. Following the registration, the total number of the Bank'sshares registered with KDPW under code PLBRE0000012 will be 42,346,193.
