Appointment of a new member of the Supervisory Board of mBank S.A.

The Management Board of mBank S.A. ("the Bank") announces that under aresolution of the Bank's Supervisory Board of 24 March 2021, Fred ArnoWalter was appointed as the member of the Supervisory Board of mBankS.A., as of 25 March 2021, until the end of the current term of theSupervisory Board.

Arno Walter has been the Head of Wealth Management & Small BusinessClients at Commerzbank AG since 01.01.2020 and is also responsible forthe integration of Comdirect Bank into Commerzbank. In addition, heholds the position of Deputy Chairman of the Supervisory Board ofCommerz Direktservice GmbH.

From 2015 onwards he was CEO of Comdirect Bank AG where he wasresponsible for Corporate Development & Strategy, CorporateCommunications, Treasury & Business Partners as well as Audit.

After completing his apprenticeship as a banker at Dresdner Bank AG, Mr.Walter studied Business Administration at the Goethe UniversityFrankfurt am Main until 1995 (Diploma for business administration).

After further stints at Dresdner Bank in retail banking, he moved toDeutsche Börse Group in 2000 and then in 2002 as Head of Division toCommerzbank, where he held management positions in various areas.

Until his move to Comdirect Bank AG, Mr. Walter was responsible for thebranch-based Retail, Private and Business Banking in the South-WestGermany region and was a Divisional Board Member in the PrivateCustomers segment.

To the best of the Management Board's knowledge, Fred Arno Walter is notinvolved in any activities which compete with those carried out by theBank.

In accordance with the criteria applied by the Bank, Fred Arno Walter isnot an independent member of the Supervisory Board of the Bank.

Fred Arno Walter has no records in the Register of Insolvent Debtorsmaintained under the National Court Register Act.
