Conditional registration of mBank shares by KDPW

The Management Board of mBank S.A. __quot;the Bank_quot;_ announces that onNovember 30, 2021 the Polish National Depository for Securities (KrajowyDepozyt Papierów Wartościowych S.A.) __quot;KDPW_quot;_ conditionally registeredup to 917,637 ordinary bearer shares in the Bank with a face value ofPLN 4 per share, issued pursuant to Resolution No. 38 of the 31st AnnualGeneral Meeting of mBank S.A. of 9 May 2018 on the Issue of SubscriptionWarrants, Conditional Share Capital Increase with Divestment of theExisting Shareholders' Pre-emptive Right to Subscription Warrants andShares, Change of the Company's By-Laws and on Applying for Admission ofShares to Trading on a Regulated Market, and Dematerialisation ofShares, and assigned code PLBRE0000012 to them.

The abovementioned shares in the Bank will be registered with KDPW onthe basis of settlement orders referred to in Article 6 of the DetailedRules of Operation of KDPW submitted after the company operating theregulated market decides to introduce the said shares to trading on thatregulated market, not earlier than on the day of that introduction.
