Conclusionof a letter of intent

The ManagementBoard of Aforti Holding S.A. with its registered office in Warsaw (the_quot;Issuer_quot;) informs that on 10 January 2022, the Issuer and its subsidiaryAforti Collections S.A. with its registered office in Warsaw(hereinafter: _quot;Aforti Collections_quot;), signed a letter of intent with thekey shareholders of a company providing services in the debt collectionindustry in Poland (hereinafter: the _quot;Company_quot;), summarising the keyterms and conditions of a transaction under which the Parties agreed tomake all efforts towards the acquisition of 100% of the Company's sharesby Aforti Collections and its further financing. The Company has anestablished position on the Polish market and specialises in servicingsecuritisation funds and entities from the financial sector.

Detailedprinciples and manner of implementation of individual joint actions,referred to above, will be determined in separately concluded agreements.

The acquisition ofan entity in the debt collection industry by a subsidiary of the Issueris connected with another stage of activities aimed at furtherimplementation of the strategy of the Issuer's Capital Group.
