WRAZ Z UZASADNIENIEM DOTYCZĄCA SPRAWOZDAŃ FINANSOWYCH I SPRAWOZDANIA ZARZĄDU Z DZIAŁALNOŚCI ECHO INVESTMENT S.A. ORAZ GRUPY KAPITAŁOWEJ ECHO INVESTMENT ZA ROK OBROTOWY 2021 Rada Nadzorcza spółki Echo Investment S.A., działając na podstawie art. 382 § 3 Kodeksu spółek handlowych oraz § 70 ust. 1 pkt 14 oraz § 71 ust. 1 pkt 12 rozporządzenia Ministra Finansów w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim z dnia 29 marca 2018 r., dokonała pozytywnej oceny przedstawionych przez Zarząd poniższych dokumentów, stwierdzając, iż są one zgodne z księgami, dokumentami oraz ze stanem faktycznym: a) jednostkowego sprawozdania finansowego za rok 2021 obejmującego: - jednostkowy bilans sporządzony na dzień 31 grudnia 2021 roku, - jednostkowy rachunek zysków i strat za okres 1 stycznia 2021 do 31 grudnia 2021 roku, - jednostkowe sprawozdanie z przepływów środków pieniężnych za okres 1 stycznia 2021 roku do 31 grudnia 2021 roku, - jednostkowe zestawienie zmian w kapitale własnym za okres od 1 stycznia 2021 roku do 31 grudnia 2021 roku, - informację dodatkową; b) skonsolidowanego sprawozdania finansowego za rok 2021 obejmującego: - skonsolidowany bilans sporządzony na dzień 31 grudnia 2021 roku, - skonsolidowany rachunek zysków i strat za okres 1 stycznia 2021 do 31 grudnia 2021 roku, - skonsolidowane sprawozdanie z przepływów środków pieniężnych za okres 1 stycznia 2021 roku do 31 grudnia 2021 roku, ECHO INVESTMENT S.A. SUPERVISORY BOARD EVALUATION AND JUSTIFICATION REGARDING FINANCIAL REPORTS AND THE MANAGEMENT BOARD REPORT ON THE OPERATIONS OF ECHO INVESTMENT S.A. AND ECHO INVESTMENT CAPITAL GROUP FOR FINANCIAL YEAR 2021 Acting on the basis of Article 382.3 of the Polish Code of Commercial Companies and Partnerships and Clause 70.1.14 and 71.1.12 of the Ordinance of the Minister of Finance of 29 March governing current and periodical information published by issuers of securities and conditions whereunder information required by law of a non-member state may be considered as equivalent, the Supervisory Board approved the following documents submitted by the Management Board and confirmed that they comply with the books, documents and facts: a) separate financial report for 2021, comprising: - separate balance sheet as at 31 December 2021, - separate profit and loss account for the period between 1 January 2021 and 31 December 2021, - separate cash flow statement for the period between 1 January 2021 and 31 December 2021, - separate statement on the changes in equity for the period between 1 January 2021 and 31 December 2021, - additional information; b) consolidated financial report for 2021, comprising: - consolidated balance sheet as at 31 December 2021, - consolidated profit and loss account for the period between 1 January 2021 and 31 December 2021, - consolidated cash flow statement for the period between 1 January 2021 and 31 December 2021, - consolidated statement on the changes in equity for the period between 1 January 2021 and 31 December 2021, 2 Ocena Rady Nadzorczej Echo Investment S.A. dotycząca sprawozdań finansowych i sprawozdania zarządu z działalności Echo Investment S.A. oraz grupy kapitałowej Echo Investment za rok obrotowy 2021 - Załącznik nr 1 do uchwały Rady Nadzorczej Echo Investment S.A. w sprawie dokonania oceny dokumentów Zarządu i wydania oświadczeń Echo Investment S.A. Supervisory Board evaluation Regarding the financial reports and the management board report on the operations of Echo Investment S.A. and the Echo Investment capital group for financial year 2021 - Appendix No 1 to the RESOLUTION of the Supervisory Board of Echo Investment S.A. on the evaluation of Management Board documents and issuance of statements - skonsolidowane zestawienie zmian w kapitale własnym za okres od 1 stycznia 2021 roku do 31 grudnia 2021 roku, - informację dodatkową; c) Sprawozdanie Zarządu z działalności spółki Echo Investment S.A. i jej Grupy za 2021 rok Ocena opierała się także na wynikach badania biegłego rewidenta wskazanych w sprawozdaniach niezależnego biegłego rewidenta z badania zarówno jednostkowego, jak i skonsolidowanego sprawozdania finansowego Echo Investment S.A. i Grupy Kapitałowej Echo Investment za rok 2021. Badanie zostało przeprowadzone przez firmę audytorską Deloitte Audyt Spółka z ograniczoną odpowiedzialnością Sp. K. z siedzibą w Warszawie, wpisaną na listę podmiotów uprawnionych do badania sprawozdań finansowych prowadzoną przez Krajową Izbę Biegłych Rewidentów pod nr 73. Wyniki dokonanej oceny wraz z uzasadnieniem przedstawiono poniżej. Rada Nadzorcza dokonała oceny rocznego sprawozdania finansowego Echo Investment S.A. za rok 2021 zakończony dnia 31 grudnia 2021r. Rada Nadzorcza dokonała ponadto również oceny rocznego skonsolidowanego sprawozdania finansowego Grupy Kapitałowej Echo Investment za rok 2021 zakończony dnia 31 grudnia 2021r. Rada Nadzorcza dokonała oceny rocznego sprawozdania Zarządu z działalności Echo Investment S.A. za rok obrotowy 2021, które zostało sporządzone zgodnie z obowiązującymi przepisami ustawy z dnia 29 września 1994 r. o rachunkowości oraz rozporządzenia Ministra Finansów z dnia 29 marca 2018 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim. Powyższe sprawozdania były przedmiotem weryfikacji, analizy i oceny Komitetu Audytu Rady Nadzorczej Spółki, który zarekomendował Radzie Nadzorczej wydanie pozytywnej oceny. - additional information; c) Management Board report on the operations of Echo Investment S.A. and its Group for 2021. The evaluation is also based on the results of an audit carried out by a statutory auditor that are indicated in reports by the independent statutory auditor covering the separate and consolidated financial report of Echo Investment S.A. and the Echo Investment Capital Group for 2021. The audit was performed by the auditing firm Deloitte Audyt Spółka z ograniczoną odpowiedzialnością Sp. K. with its registered office in Warsaw, entered in the list of entities authorized to audit financial reports maintained by the Polish National Chamber of Statutory Auditors under no. 73. The results of the evaluation, including the justification, are presented below. The Supervisory Board evaluated the annual financial report of Echo Investment S.A. for the year 2021 ended 31 December 2021. Furthermore, the Supervisory Board evaluated the annual consolidated financial report of the Echo Investment Capital Group for the year 2021 ended 31 December 2021. The Supervisory Board evaluated the Management Board annual report on the operations of Echo Investment S.A. for the financial year 2021, which was drafted according to the Act of 29 September 1994 on Accountancy and the Ordinance of the Minister of Finance of 29 March 2018 governing current and periodical information published by issuers of securities and conditions whereunder information required by law of a non-member state may be considered as equivalent. The said reports were also subject to verification, review and evaluation by the Audit Committee of the Company’s Supervisory Board, which advised the Supervisory Board to approve them. Supervisory Board evaluation Regarding the financial reports and the management board report on the operations of Echo Investment S.A. and the Echo Investment capital group for financial year 2021 - Appendix No 1 to the RESOLUTION of the Supervisory Board of Echo Investment S.A. on the evaluation of Management Board documents and issuance of statements Rada Nadzorcza stwierdza, że dane zawarte w jednostkowym sprawozdaniu finansowym Echo Investment S.A. i skonsolidowanym sprawozdaniu finansowym Grupy Kapitałowej Echo Investment prawidłowo i rzetelnie odzwierciedlają sytuację majątkową i finansową Grupy Kapitałowej Echo Investment. Ponadto sprawozdanie finansowe i sprawozdanie z działalności Zarządu zawiera wszystkie informacje istotne dla oceny wyniku działalności gospodarczej, rentowności i identyfikacji wszelkich ryzyk. Rada Nadzorcza potwierdza również, że informacje finansowe zawarte w sprawozdaniu Zarządu z działalności Echo Investment S.A. i Grupy Kapitałowej Echo Investment zaczerpnięte są bezpośrednio ze zbadanych sprawozdań finansowych i są z nimi zgodne. Stwierdzenia te Rada Nadzorcza oparła na jednostkowym oraz skonsolidowanym sprawozdaniu finansowym oraz treści opinii i raportu Biegłego Rewidenta. Opinia Biegłego Rewidenta potwierdza, że sprawozdania sporządzone zostały w sposób prawidłowy, we wszystkich istotnych aspektach, zgodnie z zasadami rachunkowości, wynikającymi z Międzynarodowych Standardów Sprawozdawczości Finansowej oraz związanych z nimi interpretacji ogłoszonych w formie rozporządzeń Komisji Europejskiej, a w zakresie nieuregulowanym w tych Standardach – stosownie do wymogów, zgodnie z przepisami ustawy o rachunkowości z dn. 29 września 1994 roku i wydanych na jej podstawie przepisów wykonawczych oraz na podstawie prawidłowo prowadzonych ksiąg rachunkowych. Ponadto sprawozdania są zgodne z postanowieniami statutu Spółki. Wyżej wymienione sprawozdania finansowe zostały sporządzone w ustalonym przepisami terminie i są zgodne z Międzynarodowymi Standardami Sprawozdawczości Finansowej. Poprawność sporządzenia przedmiotowych sprawozdań, co do zgodności z księgami rachunkowymi, dokumentami i stanem faktycznym, nie budzi zastrzeżeń i znajduje potwierdzenie w informacjach zawartych w sprawozdaniu niezależnego biegłego rewidenta z badania powyższych sprawozdań. Członkowie Rady Nadzorczej: Podpisy na następnych stronach: Investment Capital Group reflect the financial standing of the Echo Investment Capital Group in a correct and reliable manner. Furthermore, the financial report and the report on the activity of the Management Board contain all information relevant for the evaluation of the results of business operations, profitability and the identification of all risks. The Supervisory Board also confirms that the financial information contained in the Management Board report on operations of Echo Investment S.A. and the Echo Investment Capital Group comes directly from the audited financial reports and is consistent therewith. The above Supervisory Board statements are based on separate and consolidated financial reports and the content of the opinion and report by a Statutory Auditor. The Statutory Auditor's opinion confirms that the financial reports have been prepared correctly in all material aspects, in accordance with the accounting principles of the International Financial Reporting Standards and related interpretations published in the form of European Commission regulations, and in the scope not governed by these Standards – in accordance with the provisions of the Accounting Act of 29 September 1994 and the executive regulations issued on its basis and on the basis of properly maintained accounting books. Moreover, the reports comply with the provisions of the Company's Articles of Associations. The above-mentioned financial reports were drafted within time limits prescribed by law and comply with the International Financial Reporting Standards. It is found that the said reports raise no reservations as to their compliance with books, documents and facts, and they are supported by information contained in the audit report by an independent statutory auditor covering the above-mentioned reports.
