The ManagementBoard of Korporacja Gospodarcza _quot;EFEKT_quot; S.A. notifies the Company'sShareholders of the intention to merge: KORPORACJA GOSPODARCZA _quot;EFEKT_quot;Spółka Akcyjna with its registered office in Kraków at ul. Opolska 12,entered into the Register of Entrepreneurs of the National CourtRegister under the number KRS 0000115403, the documentation of which iskept at the District Court for Kraków-Śródmieście in Kraków, XICommercial Division of the National Court Register, Przy Rondzie 7,31-547 Kraków, share capital (fully covered): 4,995,450.00 NIP ID:6760077402 REGON 1413856 (as the acquiring company - hereinafter:_quot;EFEKT_quot; or _quot; Acquiring Company _quot;) with subsidiaries:EFEKT-HOTELE Spółka Akcyjna based inKraków and _quot;LIDER HOTEL_quot; limited liability company based in Kraków.Inconnection with the above, the Management Board of the EconomicCorporation _quot;EFEKT_quot; S.A. informs that: 1. The merger will take place bytransferring all the assets of the Acquired Company to the AcquiringCompany - merger by acquisition in accordance with Art. 492§1 point 1 ofthe Commercial Companies Code. The detailed rules of merger are set outin the _quot;Merger Plan of the Companies: Korporacja Gospodarcza_quot; EFEKT_quot;Spółka Akcyjna with its registered office in Krakow (as the acquiringcompany): EFEKT-HOTELE S.A. with its seat in Krakow and _quot;LIDER HOTEL_quot;Limited Liability Company with its seat in Krakow (as the acquiredcompany) _quot;, drawn up on May 26, 2022 (hereinafter: the Merger Plan). 2.The Merger Plan was not announced in the Court and Economic Monitorbecause, pursuant to Art. 500§2ą of the Commercial Companies Code, itwas made available on May 26, 2022 free of charge on the website of theAcquiring Company at the following address:http://www.efektsa.pl/plan-polaczenia-spolek.html?1_8 and on thewebsites of the Companies taken overhttp://www.krakowexpress.pl/upload/home/big/planpolaczenia2022.pdf. andplanconnection2022.pdf (premierkrakowhotel.pl). The Merger Plan was alsopublished in the current report No. 14/2022 of May 26, 2022. 3. Pursuantto the provisions of the Merger Plan, the Management Board of theCompany may prepare a report justifying the merger pursuant to Art. 501of the Commercial Companies Code. 4. Shareholders may familiarizethemselves with the documents specified in Art. 505 §1 of the CommercialCompanies Code (excluding draft amendments to the Articles ofAssociation, expert opinion on the merger plan audit and statements onthe accounting status of the Acquiring Company, which were not preparedin accordance with the provisions of the Merger Plan) at the registeredoffice of the _quot;EFEKT_quot; S.A. Economic Corporation. at ul. Opolska 12 inthe city of Krakow and on the website of the Economic Corporation_quot;EFEKT_quot; S.A.
