Zawarcie umów nabycia akcji w spółce Mori Capital Management

Zarząd Spółki Aforti Holding S.A. z siedzibą w Warszawie (dalej: "Spółka", "Emitent") informuje, że dnia 12 lipca 2022 r. Emitent podpisał ze spółką Alpine Limited, z siedzibą na Guernsey (Baliwat Guernsey) umowy nabycia akcji w spółce Mori Capital Management Limited z siedzibą w Sliema, Republika Malty.

Na podstawie ww. umów Emitent nabywa z dniem 12 lipca 2022 r. 9980 akcji stanowiących 4,99% kapitału i 4,99% głosów na walnym zgromadzeniu oraz nabywa 160.020 akcji stanowiących 80,01% kapitału zakładowego i 80,01% głosów na walnym zgromadzeniu Mori Capital Management Limited pod warunkiem uzyskania zgody Malta Financial Services Authority (MFSA) na nabycie większościowego pakietu akcji (warunkowa umowa nabycia akcji). W przypadku braku zgody MFSA do dnia 01 lipca 2023r warunkowa umowa nabycia 160.020 akcji wygasa lub strony mogą przedłużyć okres oczekiwania na zgodę MFSA. Warunkowa umowa nabycia 160.020 akcji przewiduje, że zamknięcie transakcji nastąpi w terminie 5 dni od daty uzyskania zgody MFSA. Emitent zamierza niezwłocznie wystąpić do MFSA o udzielenie ww. zgody.

Mori Capital Management Limited jest licencjonowaną firmą inwestycyjną w Republice Malty zajmująca się zarzadzaniem aktywami. Spółka obecnie zarządza dwoma funduszami inwestycyjnymi Mori Eastern European Fund i Mori Otoman Fund z siedzibą w Dublinie, w Republice Irlandii. Na dzień 25 lutego 2022 r. wartość aktywów netto będących pod zarządzaniem Mori Capital Management Limited wynosiła 63,5 mln EUR.

Nabycie akcji Mori Capital Management Limited stanowi realizację strategii Emitenta, w której jednym z filarów jest rozwój działalności asset management. Działalność ta będzie rozwijana za pośrednictwem Mori Capital Management wspólnie z partnerem biznesowym posiadającym duże doświadczenie na rynku zarządzania funduszami, jako akcjonariuszem mniejszościowym Mori Capital Management.

Conclusion of share purchase agreements in Mori Capital Management company

The Management Board of Aforti Holding S.A., headquartered in Warsaw (hereinafter: "Company", "Issuer") informs that on July 12, 2022. The Issuer signed agreements with Alpine Limited, based in Guernsey (Bailiwick of Guernsey) to acquire shares in Mori Capital Management Limited, based in Sliema, Republic of Malta.

Based on the aforementioned agreements, the Issuer acquires as of July 12, 2022. 9980 shares representing 4.99% of the capital and 4.99% of the votes at the general meeting, and acquires 160,020 shares representing 80.01% of the share capital and 80.01% of the votes at the general meeting of Mori Capital Management Limited, under the condition of obtaining approval from the Malta Financial Services Authority (MFSA) for the acquisition of a majority stake (conditional share purchase agreement). If the MFSA's approval is not obtained by July 01, 2023, the conditional share purchase agreement for 160,020 shares will expire or the parties may extend the period of waiting for the MFSA's approval. The conditional share purchase agreement for 160,020 shares stipulates that the closing of the transaction will take place within 5 days from the date of obtaining MFSA approval. The Issuer intends to immediately apply to the MFSA for the aforementioned approval.

Mori Capital Management Limited is a licensed investment company in the Republic of Malta engaged in asset management. The company currently manages two investment funds, Mori Eastern European Fund and Mori Otoman Fund, based in Dublin, Republic of Ireland. As of February 25, 2022, the net assets under management of Mori Capital Management Limited amounted to EUR 63.5 million.

The purchase of shares in Mori Capital Management Limited is an implementation of the Issuer's strategy, in which one of the pillars is the development of asset management activities. This activity will be developed through Mori Capital Management together with a business partner with extensive experience in the fund management market, as a minority shareholder of Mori Capital Management. The Issuer will report on further stages of the investment in relevant current reports.
