Change of the home Member State

The Board of Directors of Astarta Holding PLC (the "Board") (the "Company"), in reference to the Company's Current Reports No. 20/2022 dated 22 September 2022 and No. 08/2022 dated 06 April 2022 (the "Reports"), hereby informs that on 30 September 2022 the Department of the Registrar of Companies and Intellectual Property of the Ministry of Energy, Commerce and Industry of the Republic of Cyprus (the "Registrar of Companies in Cyprus") issued a Certificate of Continuation of Astarta Holding PLC which finalized and confirmed the effectiveness of the process of the Company's cross-border migration referred to in the Reports (the "Migration").

In view of the above as of 16 September 2022:

• 1) the Company is registered in Cyprus under the name of Astarta Holding PLC;
• 2) the corporate seat of the Company was transferred from Amsterdam (the Netherlands) to Nicosia (Cyprus) and the Company lost its corporate domicile in the Netherlands and commenced to operate under the name of Astarta Holding PLC;
• 3) in connection with change of the registered office of the Company as a result of finalization of the Migration, the Company's home Member State within the meaning of Article 2(m) of Regulation (EU) 2017/1129 has changed from the Netherlands to Cyprus; and
• 4) Poland remains the Company's host Member State within the meaning of Article 2(n) of Regulation (EU) 2017/1129.

Legal basis: Article 55a section 4 of Polish Act of 29 July 2005 on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organised Trading, and on Public Companies.
