Den 4. juni 2025 kl. 09.00 ble det avholdt ordinær generalforsamling i XXL ASA ("**Selskapet**") via Lumi AGM

Generalforsamlingen ble åpnet av styrets leder, Håkan Lundstedt, som opptok en fortegnelse over aksjeeiere som var representert på generalforsamlingen, enten ved forhåndsstemme, digitalt oppmøte, eller ved fullmektig. Fortegnelsen, inkludert antall aksjer og stemmer representert, er inntatt som Vedlegg 1 til protokollen.

TotaIt var 29 815 240 aksjer, hvorav 29 815 240 Aaksjer og 0 B-aksjer, representert på den ordinære generalforsamlingen, tilsvarende ca. 42,31 % av totalt antall utstedte stemmeberettigede aksjer og ca. 34 % av aksjekapitalen i Selskapet.

I samsvar med styrets forslag traff generalforsamlingen følgende vedtak:

*Hans Cappelen Arnesen, advokat og partner i Advokatfirmaet Thommessen AS, velges som møteleder.*

#### **ANNUAL GENERAL MEETING**

**OF** 

#### **XXL ASA**

(REG. NO. 995 306 158)

On 4 June 2025 at 09:00 hours (CEST), the annual general meeting of XXL ASA (the **"Company**") was held by electronic means through Lumi AGM.

The general meeting was opened by the chair of the board of directors, Håkan Lundstedt, who registered the shareholders present at the general meeting either by way of advance vote, in person digitally, or by proxy. The register of attending shareholders, including the number of shares and votes represented, is included as Appendix 1 to the minutes.

In total, 29,815,240 shares, of which 29,815,240 A shares and 0 B shares, were represented at the annual general meeting, equaling approx. 42.31% of the total number of issued voting shares and approx. 34% of the Company's share capital.

### **1 VALG AV MØTELEDER 1 ELECTION OF A CHAIRPERSON OF THE MEETING**

In accordance with the proposal from the board of directors, the general meeting adopted the following resolution:

*Hans Cappelen Arnesen, lawyer and partner in Advokatfirmaet Thommessen AS, is elected to chair the meeting.*

I samsvar med styrets forslag traff generalforsamlingen følgende vedtak:

*Tolle Olaf Grøterud velges til å medundertegne protokollen sammen med møtelederen.*

I samsvar med styrets forslag traff generalforsamlingen følgende vedtak:

### **4 GODKJENNING AV ÅRSREGNSKAPET OG ÅRSRAPPORTEN FOR 2024**

Styrets forslag om å godkjenne årsregnskapet og årsrapporten for 2024 fikk ikke tilslutning fra flertallet av stemmene i generalforsamlingen, jf. avstemningsresultatet inntatt som Vedlegg 2 til protokollen.

#### **5 GODKJENNING AV REVISORS HONORAR FOR 2024**

Styrets forslag om å godkjenne revisors honorar for 2024 fikk ikke tilslutning fra flertallet av stemmene i generalforsamlingen, jf. avstemningsresultatet inntatt som Vedlegg 2 til protokollen.

## **6 RÅDGIVENDE AVSTEMNING OVER RAPPORT OM LØNN OG ANNEN GODTGJØRELSE TIL LEDENDE ANSATTE**

Møteleder viste til styrets rapport om lønn og annen godtgjørelse til ledende personer i Selskapet ("**Lederlønnsrapport**") som er utarbeidet i henhold til allmennaksjeloven § 6-16b og tilhørende forskrift.

In accordance with the proposal from the board of directors, the general meeting adopted the following resolution:

### **4 APPROVAL OF THE ANNUAL ACCOUNTS AND THE ANNUAL REPORT FOR 2024**

The board of director's proposal to approve the annual accounts and the annual report for 2024 did not receive support from a majority of the votes cast in the general meeting, cf. the voting set out in Appendix 2 to these minutes.

### **5 APPROVAL OF THE AUDITOR'S FEE FOR 2024**

The board of director's proposal to approve the auditor's fee for 2024 did not receive support from a majority of the votes cast in the general meeting, cf. the voting set out in Appendix 2 to these minutes.

## **6 ADVISORY VOTE OF REPORT ON SALARY AND OTHER REMUNERATION TO LEADING PERSONNEL**

The chair of the meeting referred to the board of directors' report on salary and other remuneration to the Company's leading personnel (the "**Executive Remuneration Report**") prepared in accordance with Section 6-16b of the Norwegian Public Limited Lederlønnsrapporten er tilgjengelig på Selskapets nettsid[e www.xxlasa.com.](http://www.xxlasa.com/)

Lederlønnsrapporten fikk ikke tilslutning fra flertallet av stemmene i generalforsamlingen, jf. avstemningsresultatet inntatt som Vedlegg 2 til protokollen.

### **7 STYRETS REDEGJØRELSE FOR EIERSTYRING OG SELSKAPSLEDELSE**

Møteleder viste til redegjørelse for foretaksstyring, som er utarbeidet i tråd med regnskapsloven § 2-9. Redegjørelsen inngår i Selskapets årsrapport for 2024, som er tilgjengelig på Selskapets hjemmeside [www.xxlasa.com.](http://www.xxlasa.com/)

Generalforsamlingen tok redegjørelsen til orientering. Det ble ikke fremsatt noen kommentarer til redegjørelsen.

## **8 GODTGJØRELSE TIL MEDLEMMENE AV STYRET, REVISJONSKOMITEEN, SAMT ORGANISASJONS- OG GODTGJØRELSESKOMITEEN**

Møtelederen viste til innstillingen fra nominasjonskomiteen som ble offentliggjort via [www.newsweb.no](http://www.newsweb.no/) den 2. juni 2025. Det ble diskutert om nominasjonskomiteens forslag til ekstraordinær godtgjørelse til styrets medlemmer skulle stemmes over separat som agendapunkt 8.2, eller om det skulle være en del av en samlet stemmegivning under agendapunkt 8. Frasers Group plc, som var representert med 28 776 450 aksjer og stemmer, tilsvarende ca. 96,5 % av aksjene og stemmene som var representert i generalforsamlingen ønsket at nominasjonskomiteens forslag skulle stemmes over under ett og opplyste at de uansett ville stemme mot både den ordinære og den ekstraordinære godtgjørelsen som var foreslått til styrets medlemmer.

The Executive Remuneration Report did not receive support from a majority of the votes cast in the general meeting, cf. the voting set out in Appendix 2 to these minutes.

### **7 THE BOARD OF DIRECTORS' REPORT ON CORPORATE GOVERNANCE**

The chair of the meeting referred to the board of directors' report on corporate governance which has been prepared in accordance with Section 2-9 of the Norwegian Accounting Act. The report is included in the Company's annual report of 2024, which may be found at the Company's website [www.xxlasa.com.](http://www.xxlasa.com/)

The report was taken into consideration by the general meeting. No comments were made to the report.

## **8 REMUNERATION FOR THE MEMBERS OF THE BOARD OF DIRECTORS, THE AUDIT COMMITTEE AND THE PEOPLE COMMITTEE**

The chairperson of the meeting referred to the nomination committee's recommendation which had been made available via [www.newsweb.no](http://www.newsweb.no/) on 2 June 2025. It was discussed whether the nomination committee's proposal for an extraordinary remuneration to the members of the board of directors should be voted on separately under agenda item 8.2, or if the proposal should be a part of a joint vote under agenda item 8. Frasers Group plc, who was represented with 28,776,450 shares and votes, equal to approximately 96.5% of the shares and votes represented at the general meeting wanted the nomination committee's proposal to be voted for jointly and informed that they in any case would cote against both the ordinary and the extraordinary remuneration that was proposed to the members of the board of directors.

Innstillingen fra nominasjonskomiteen fikk ikke tilslutning fra flertallet av stemmene i generalforsamlingen, jf. avstemningsresultatet inntatt som Vedlegg 2 til protokollen.

## **10 GODKJENNING AV GODTGJØRELSE TIL MEDLEMMENE AV VALGKOMITEEN**

Møtelederen viste til innstillingen fra nominasjonskomiteen som ble offentliggjort via [www.newsweb.no](http://www.newsweb.no/) den 2. juni 2025. Innstillingen fra nominasjonskomiteen fikk ikke tilslutning fra flertallet av stemmene i generalforsamlingen, jf. avstemningsresultatet inntatt som Vedlegg 2 til protokollen.

Møteleder viste videre til at valgkomiteen også har innstilt på at det velges nye medlemmer til It was then decided that the votes would be cast under one joint vote.

In accordance with the proposal from the nomination committee, the general meeting adopted the following resolutions:

## **10 APPROVAL OF REMUNERATION FOR THE MEMBERS OF THE NOMINATION COMMITTEE**

The chairperson of the meeting referred to the nomination committee's recommendation which had been made available via [www.newsweb.no](http://www.newsweb.no/) on 2 June 2025. The nomination committee's recommendation did not receive support from a majority of the votes cast in the general meeting, cf. the voting set out in Appendix 2 to these minutes.

The chairperson of the meeting also referred to that the nomination committee has proposed that new valgkomiteen for å erstatte de nåværende aksjonærvalgte medlemmene av valgkomiteen. Ettersom nåværende medlemmer av valgkomiteen i 2024 ble valgt for en periode frem til 2026, ble valg av nye medlemmer til valgkomiteen ikke inkludert som et eget agendapunkt i innkallingen til den ordinære generalforsamlingen. Valg av nye medlemmer til valgkomiteen vil avholdes så snart som praktisk mulig etter gjennomføringen av det pliktige tilbudet som er fremsatt av Frasers Group plc.

## **11 STYREFULLMAKT TIL KAPITALFORHØYELSE I FORBINDELSE MED AKSJEINCENTIVPROGRAM**

Styrets forslag til å tildele styret en styrefullmakt til å forhøye aksjekapitalen i forbindelse med aksjeincentivprogram fikk ikke tilstrekkelig tilslutning fra stemmene og kapitalen i generalforsamlingen, jf. avstemningsresultatet inntatt som Vedlegg 2 til protokollen.
