XXL ASA – The nomination committee's proposal to the annual general meeting

Reference is made to the stock exchange announcement published on 14 May 2025 regarding the notice of the annual general meeting in XXL ASA (the "Company" or "XXL") to be held on 4 June 2025.

The recommendation by the nomination committee is attached hereto. The recommendation includes proposals regarding the (i) candidates to XXL's board of directors, (ii) remuneration to the members of the board of directors and board committees, (iii) candidates to Company's nomination committee and (iv) remuneration to the members of the nomination committee.

The recommendation made by the nomination committee is attached hereto. The recommendation will also be made available on the Company's webpage www.xxlasa.com/general-meetings.
