#### PROTOKOLL FRA

#### ORDINÆR GENERALFORSAMLING

ordinær generalforsamling i Spir Group ASA, org.nr. 823 843 542 ("Selskapet"), på Selskapets kontorer i Dronning Mauds gate 10, 0250 Oslo, Norge.

Generalforsamlingen ble åpnet av styrets leder, Rolv Erik Ryssdal, som opptok fortegnelsen over møtende aksjonærer. Til sammen var 80 141 591 av 132 664 788 aksjer og stemmer representert på generalforsamlingen, tilsvarende 60,41 % av det totale antallet utstedte aksjer og stemmer i Selskapet jf. Vedlegg 1 til denne protokollen.

Følgende saker ble behandlet:

#### 1. Valg av møteleder

generalforsamlingen følgende vedtak:

Stian Alexander Slaatta ble valgt til å lede generalforsamlingen.

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultatet inntatt som Vedlegg 2 til protokollen.

#### 2. Valg av en person til å medundertegne protokollen

Generalforsamlingen valgte Rolv Erik Ryssdal til å medundertegne protokollen sammen med møtelederen.

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultatet inntatt som Vedlegg 2 til protokollen.

#### 3. Godkjenning av innkalling og dagsorden

Møtelederen informerte om at innkallingen med dagsorden var sendt til alle aksjonærer med kjent adresse den 7. mai 2025.

Da det ikke var noen innvendinger til innkallingen | eller dagsorden, ble innkallingen og dagsordenen ansett som godkjent. Møtelederen erklærte generalforsamlingen for lovlig satt.

#### MINUTES OF

#### ANNUAL GENERAL MEETING

Den 28. mai 2025 kl. 10.00 ble det avholdt | The annual general meeting of Spir Group ASA, req. no 823 843 542 (the "Company"), was held on 28 May 2025 at 10:00 CEST at the Company's offices in Dronning Mauds gate 10, 0250 Oslo. Norway.

> The general meeting was opened by the chairperson of the board, Rolv Erik Ryssdal, who recorded the attending shareholders. In total 80,141,591 of 132,664,788 shares were represented, corresponding to 60.41% of the total number of issued shares and votes in the Company, cf. Appendix 1 to these minutes.

The following matters were resolved:

#### 1. Election of a chairperson of the meeting

I samsvar med styrets forslag fattet In accordance with the board's proposal, the general meeting adopted the following resolution:

> Stian Alexander Slaatta was elected to chair the general meeting.

> The resolution was passed with the required majority, cf. the result of the voting set out in Appendix 2 to these minutes.

#### 2. Election of a person to co-sign the minutes

The general meeting elected Rolv Erik Ryssdal to co-sign the minutes together with the chair of the meeting.

#### 3. Approval of notice and agenda

The chair of the meeting informed that the notice with agenda had been sent to all shareholders with known address on 7 May 2025.

As no objections were raised to the notice or the agenda, the notice and the agenda were considered approved. The chair of the meeting declared the general meeting as lawfully convened.

- e) Fullmakten omfatter kapitalforhøyelse mot innskudd i andre eiendeler enn penger og rett til å pådra Selskapet særlige plikter mv.
- f) Fullmakten omfatter ikke kapitalforhøyelse ved fusjon.
- g) Fra tidspunktet for registrering i Foretaksregisteret denne fullmakten den tidligere styrefullmakten til å forhøye aksjekapitalen med inntil NOK 130.050,35 som styret ble tildelt på den ordinære generalforsamlingen den 31. mai 2024.

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultatet inntatt som Vedlegg 2 til protokollen.

### 13. Styrefullmakt – erverv av egne aksjer

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

- a) Selskapets styre tildeles fullmakt til erverv av Selskapets egne aksjer i en eller flere omganger opptil samlet pålydende verdi på NOK 265 329,576. Fullmakten omfatter også avtalepant i egne aksjer.
- b) Den høyeste og laveste kjøpesum som skal betales for aksjene som kan erverves i henhold til fullmakten er henholdsvis NOK 1 og NOK 200. Styret står for øvrig fritt med hensyn til på hvilken måte erverv og avhendelse av egne aksjer skal skje.
- c) Fullmakten gjelder frem til Selskapets ordinære generalforsamling i 2026, likevel ikke lengre enn til og med 30. juni 2026.

- b) The authorization may only be used in connection with the Company's incentive schemes.
- c) The authorization is valid until the Company's annual general meeting in 2026, but not longer than to and including 30 June 2026.
- d) The shareholders' preferential right to the new shares may be deviated from.
- e) The authorization does include the right to share capital increase against contribution in kind and the right to incur specific obligations on behalf of the Company.
- f) The authorization does not include share capital increase in connection with mergers.
- g) From the time of registration in the Norwegian Register of of Business Enterprises, this authorisation replaces the previous authorisation to increase the share capital by up to NOK 130,050.35 given to the board of directors at the annual general meeting held on 31 May 2024.

#### 13. Board authorisation - acquisition of treasury shares

In accordance with the board's proposal, the general meeting adopted the following resolution :

- a) The board of the Company is authorized to acquire treasury shares, in one or more transactions, with a total nominal value of NOK 265,329.576. The authorization also includes agreed pledge in own shares.
- b) The highest and the lowest purchase price for the shares that may be acquired pursuant to the authorization is, as the case may be, NOK 1 and NOK 200. The board is otherwise free to determine the manner in which acquisition and disposal of treasury shares shall take place.
- c) The authorization is valid until the Company's annual general meeting in
