Oslo, 27 May 2025: Reference is made to Spir Group ASA's (the "Company") announcement earlier today regarding the resolution to issue up to 95,760 bonus shares in connection with the Company's employee share purchase program for 2022 (the "ESPP 2022").  

  

The following primary insiders and close associates have been allocated and subscribed for bonus shares under the ESPP 2022:  

  

\- Rasche Investeringer AS, a close associate of Preben Rasch-Olsen, board member, subscribed for 2,342 shares at price of NOK 0.02 under the ESPP 2022.  

  

\- Sigrun Syverud, board member, subscribed for 4,685 shares at price of NOK 0.02 under the ESPP 2022.  

  

\- Erling Olaussen, Chief of Strategy and M&A, subscribed for 4,685 shares at price of NOK 0.02 under the ESPP 2022.  

  

\- Rugz AS, a close associate of Jens Rugseth, board member, subscribed for 4,685 shares at price of NOK 0.02 under the ESPP 2022.  

  

\- Line Cecilie Stenseth, interim CFO, subscribed for 702 shares at price of NOK 0.02 under the ESPP 2022.
