(the "Company") pursuant to the Capital Markets Rules as issued by the Malta Financial Services Authority in accordance with the provisions of the Financial Markets Act (Chapter 345 of the Laws of Malta) as they may be amended from time to time.

Possible Acquisition of Klikk Finance p.l.c.

The Company hereby announces that further to its announcement of the 27 September 2024, the Company has, today, entered into a share purchase agreement in relation to the acquisition of 100% of the shares in Klikk Finance p.l.c. ("Klikk"). The acquisition of Klikk will also include the acquisition of its wholly owned subsidiary Klikk Limited (C30425)

The conclusion of the transaction is dependent on a number of conditions precedent being satisfied and therefore may or may not conclude.

Further announcements will be made as and when necessary.
