The following is a Company Announcement issued by GO p.l.c. ("the Company") pursuant to the Capital Markets Rules as issued by the Malta Financial Services Authority in accordance with the provisions of the Financial Markets Act (Chapter 345 of the Laws of Malta) as they may be amended from time to time.

Share Purchase Agreement

The Company has executed a share purchase agreement (the "Agreement") dated 19 July 2022 with inter alia Mr. Nicolas Shiacolas for the purchase and acquisition of an additional two hundred and thirty thousand (230,000) shares with a nominal value of Euro 1.71 each (the "Shares") in Cablenet Communications Systems p.l.c. ("Cablenet") a public limited liability company incorporated under the Laws of Cyprus and with registered office situated at 41-49 Ayiou Nicolaou Street, Engomi, 2048 Nicosia, Cyprus. Cablenet is a telecommunications provider in Cyprus offering broadband, fixed telephony, television services through its wholly owned cable infrastructure and mobile telephony.

Cablenet is a publicly listed company and therefore all financial information is readily available. However, the value of the gross assets of and the profits/losses attributable to Cablenet are Euro 88,342,848 and Euro 5,103,338 respectively.

The Shares being acquired in terms of the Agreement represent 6.84% of the total issued share capital in Cablenet and therefore increases the Company's ownership in Cablenet from 63.38% to 70.22%. The purchase price for the acquisition of the Shares is Euro 5,750,000 which was payable in full upon completion of the acquisition. The Agreement also grants the Company an option to acquire the remaining equity in Cablenet for a three (3) year period as from the date of the Agreement. This option is split into three (3) separate options available to the Company to acquire the following number of shares in Cablenet, with the applicable purchase price dependent on if/when the option is exercised: (a) 852,571, (b) 74,444; and (c) 74,444.
