Spir Group ASA: Annual report 2024

Oslo, 30 April 2025: Spir Group ASA today publishes its annual report for 2024. The Board of Directors of Spir Group has approved the annual accounts for 2024. The financial statements and annual report for the financial year 2024 are attached to this announcement. The ESEF file is also attached.

The financial statements have been adjusted compared to the preliminary and unaudited 2024 results reported by Spir Group on 13 February 2025 in the following areas:

• Net profit: NOK 34.7 million (from NOK 35.4 million in the Q4 report). The change is a result of provision for settlement of the claim regarding the divestment in 2023 of Metria’s Planning and surveying business (“the Sweco claim”) offset by the restatement of the gain from the 2024 business integration and the recalculation of the 2024 tax provision.

• Net equity: NOK 1,260 million (from NOK 1,277 million in the Q4 report). The change reflects a correction of an error in the deferred tax position reported in the 2023 consolidated balance sheet, affecting the 2024 opening balance, along with the impact of changes in net profit and other adjustments related to translation differences.
