# **CLOUDIA RESEARCH ORDINARY SHAREHOLDERS MEETING**

# • **2024 ANNUAL FINANCIAL STATEMENTS APPROVED**

*Milan, April 29, 2025.* Shareholders' Meeting of **Cloudia Research S.p.A.,** an Innovative SME active in the field of digital transformation with a specialized offering in ERP (Enterprise Resource Planning), Cloud and AI ("**Cloudia Research**" or the "**Company**"), listed on Euronext Growth Milan ("**EGM**"), held today in ordinary session and under the chairmanship of Marcantonio Angelo Merafina, unanimously approved financial statements as of December 31, 2024, and reviewed consolidated financial statements, too. Consolidated 2024 results were previously disclosed in the press release dated March 28, 2025.

## **ANNUAL FINANCIAL STATEMENTS AS OF DECEMBER 31, 2024**

Ordinary Shareholders' Meeting approved financial statements for the year ended December 31, 2024, which showed a net profit of 0.73 million EUR.

## **Main results as of 31/12/2024**

Financial statements for the year ended 31/12/2024 are the second to be prepared in accordance with IAS/IFRS.

**Value of production** reached 8.9 million EUR compared to 7.1 million EUR in 2023, up 25%.

**EBITDA** reached EUR 1.29 million (EUR 1.26 million in 2023), representing 14% of net revenues (18% in 2023).

**EBIT** stands at EUR 0.60 million (7% of net revenues), compared to EUR 0.76 million (11% of net revenues) in 2023.

**Net Income** amounted to EUR 0.73 million (EUR 0.64 million in the previous year), also benefiting from a positive effect linked to non-recurring income related to direct taxes from previous fiscal years, totaling approximately EUR 0.2 million, and from a EUR 0.47 million tax credit recognized on the costs incurred for the IPO.

**Net Financial Position** as of 31 December 2024 is equal to a total of 0.35 million EUR, net of cash and cash equivalents for 1.19 million EUR. It was EUR 0.72 million last year (with EUR 1.93 million in cash).

**Shareholders' Equity** amounts to EUR 5.44 million (EUR 2.82 million as of December 31, 2023). The increase is due to the partial exercise of warrants issued as part of the Company's listing transaction during the first exercise period.

## **ALLOCATION OF THE ANNUAL RESULT**

Shareholders' Meeting approved the allocation of the year's net income of about 0.73 million EUR as follows: (i) about 52.928,77 EUR to the legal reserve; (ii) about 667.957,81 EUR to the extraordinary reserve.

## **KEY HIGHLIGHTS OF THE CONSOLIDATED FINANCIAL STATEMENTS AS OF DECEMBER 31, 2024**

**Value of production** reached EUR 8.9 million.

**EBITDA** amounted to EUR **1.09** million, with a **12.3%** margin on revenues.

**EBIT** was EUR **0.40** million, with a **4.5%** margin on revenues, following depreciation and provisions in the period amounting to EUR **0.69** million.

**Net Income** amounted to EUR **0.56** million.

**Net Financial Position** as of December 31, 2024, stood at EUR **0.33** million, net of cash and cash equivalents of EUR 1.21 million.

**Shareholders' Equity** amounted to EUR 5.27 million.

**Group's Consolidated Shareholders' Equity** totalled EUR **5.27** million.

**Operating Net Working Capital** standed at EUR **1.62** million.
