ORDINARY SHAREHOLDERS' MEETING: PUBLICATION OF NOTICE OF MEETING AND FILING OF DOCUMENTS
Milan, April 14, 2025. Cloudia Research S.p.A., an Innovative SME active in the field of digital transformation with a specialized offering in ERP (Enterprise Resource Planning), Cloud and AI ("Cloudia Research" or the "Company"), listed on Euronext Growth Milan ("EGM"), announces that the Notice of Ordinary Shareholders' Meeting of the Company convened for April 29, 2025, at 3:00 p.m., exclusively via audio-video conference connection, has been published on the Company's website at cloudiaresearch.com/investor-relations/, at the authorized storage mechanism "" available at and, in abstract, in the newspaper Italia Oggi.
The Assembly will be called to vote on the following agenda:
- Annual financial statements as at 31 December 2024 and allocation of profit for the year:
1.1 Approval of the financial statements as at 31 December 2024. Presentation of the consolidated financial statements as at 31 December 2024. Decisions relating to and following up;
1.2 Appropriation of the profit for the year. Related and consequential resolutions.
The 2024 results (of the Company and consolidated) were anticipated in the press release of 28 March 2025. Within these results, it is highlighted that, as also described in the Report on Management and Notes (both of the Company's financial statements and of the consolidated financial statements), the item "other income" includes the EUR 467,000 tax credit recognized on costs incurred for listing.
Furthermore, the documents submitted to the Shareholders' Meeting are available to the public at the registered office of the Company, on the website (https://cloudiaresearch.com/ ) - in the "Investor Relations" section - as well as on the Borsa Italiana website www.borsaitaliana.it, i.e. the file of the individual financial statements of Cloudia Research S.p.A. at 31 December 2024, including the management report and reports, the Board of Directors, the Board of Statutory Auditors and the Auditing Company respectively, as well as the consolidated financial statements of Cloudia Research as at 31 December 2024, including the explanatory report of the Board of Directors, with the full text of the proposals for resolutions on the items on the agenda and the forms that the Shareholders are entitled to use in order to confer the delegation to the Designated Representative.
