ASSEMBLEA DEGLI AZIONISTI DI EMAK S.P.A. CONVOCATA PER IL GIORNO 29 APRILE 2025

PRESENTAZIONE DI LISTE DI CANDIDATI PER LA NOMINA DEL COLLEGIO SINDACALE

Bagnolo in Piano (RE), 4 aprile 2025 - Emak S.p.A., ai sensi di quanto previsto dall'art. 144-octies, comma secondo, Regolamento Emittenti per delibera Consob n. 11971 del 14/5/99, comunica che alla data del 04/04/2025, termine ultimo per la presentazione delle liste di candidati per la nomina del Collegio sindacale, è stata depositata esclusivamente una lista da parte dell'Azionista di maggioranza Yama S.p.A.

Ai sensi di quanto previsto dall'art. 144-sexies, comma quinto, Regolamento Emittenti, cit., e dall'art. 19 dello statuto sociale, la soglia percentuale minima di capitale sociale richiesta per la presentazione delle liste di minoranza di candidature per il collegio sindacale è ridotta pertanto al 1,25% del capitale sociale ed il termine di presentazione delle liste è stabilito al giorno 7 aprile 2025, ore 18:00.

Si ricorda che, per la validità della presentazione, ogni Proponente dovrà depositare presso Emak nelle modalità indicate nell'avviso di convocazione, unitamente alla lista, la documentazione richiesta dalla vigente normativa e dallo statuto, tra cui l'attestazione di assenza di rapporti di collegamento con Yama S.p.A.

È prescritta altresì la produzione con le medesime modalità, entro il termine massimo delle ore 18:00 del successivo 8 aprile 2025, della certificazione comprovante la titolarità della partecipazione complessivamente detenuta dal socio / dai soci presentatore/i.

Per maggiori informazioni, si raccomanda la consultazione dell'avviso di convocazione dell'Assemblea, della relazione del Consiglio di amministrazione sul punto 4) all'ordine del giorno e dello statuto sociale, tutti documenti reperibili sul sito www.emakgroup.it, alla sezione "Investor Relations/Corporate Governance/Assemblea dei Soci".

Tutte le liste di candidati presentate, con la documentazione a corredo, saranno poste a disposizione del pubblico presso la sede sociale, sul sito internet della Società www.emakgroup.it, Investor Relations > Corporate Governance > Assemblea dei soci, nonché presso il meccanismo di stoccaggio autorizzato "eMarket Storage", consultabile al sito internet "" entro il giorno 8 aprile 2025.

EMAK S.P.A. SHAREHOLDERS'MEETING CALLED FOR THE DAY APRIL 29, 2025

PRESENTATION OF LIST OF CANDIDATES FOR THE APPOINTMENT OF THE BOARD OF STATUTORY AUDITORS

Bagnolo in Piano (RE), April 4, 2025- Emak S.p.A., pursuant to the provisions of art. 144-octies, second paragraph of Consob Issuers' Regulations. 11971 dated 14/5/99, announces that on 04/04/2025, the deadline for the submission of lists of candidates for the Board of Statutory Auditors, only a list by the major shareholders Yama S.p.A. has been filed.

Pursuant to the provisions of art. 144-sexies, fifth paragraph, of the Issuers Regulation, cit., and art. 19 of the Articles of Association, the minimum percentage threshold of share capital required for the presentation of minority list of candidates for the board of statutory auditors is therefore reduced to 1.25% of the share capital and the deadline for submission of the lists is set at April 7, 2025, at 18.00.

Please note that for the validity of the presentation, each Proponent shall file at Emak, in the manner indicated in the call notice, together with the list, the documentation required by current regulations and Articles of Association, including the declaration of absence of any connection with Yama S.p.A..

It is also prescribed the production, in the same manner, within the maximum term of the following April 8, 2025 at 18.00, of the certification proving the ownership of the total shareholding held by the presenting shareholder / shareholders.

The lists all submitted candidate lists, with supporting documentation, will be made available to the public at the registered office, on the website of the company www.emakgroup.it, Investor Relations > Corporate Governance > Assemblea dei soci, as well as at the "eMarket Storage" authorized storage mechanism, consultable at the website, http://, by 8 April 2025.
