TESMEC S.P.A.: RESIGNATION OF A STANDING AUDITOR AND AN ALTERNATE AUDITOR RESULTING FROM THE OCCURRENCE OF CIRCUMSTANCES AFFECTING THE REQUIREMENTS FOR HOLDING THE OFFICE

Grassobbio (Bergamo), 26 March 2025 – Tesmec S.p.A. (EURONEXT STAR MILAN: TES) ("Tesmec" or the "Company") announces that today the standing auditor Laura Braga and the alternate auditor Maurizio Parni resigned, with immediate effect, from the offices they held in the Company following the occurrence of circumstances that have arisen that, at present, affect the requirements for holding the office.

Laura Braga has been replaced as standing auditor, pursuant to the law and the Articles of Association, by the alternate auditor Alice Galimberti.

It should be noted that Laura Braga, Maurizio Parni and Alice Galimberti do not hold, based on the information available to the Company, any shareholding in Tesmec.

The Company recalls that at the next Shareholders' Meeting convened for April 30, 2025, the threeyear term of office of all members of the Board of Statutory Auditors appointed by the Shareholders' Meeting of April 21, 2022 will expire, and therefore, on that occasion, the Shareholders' Meeting will have to appoint a new Board of Statutory Auditors.
