Rusagro Group PJSC is included by the Government of the Russian Federation in the list of economically significant organizations

ROS AGRO PLC (hereinafter referred to as the "Company") announces that the Government of the Russian Federation has included its subsidiary Rusagro Group PJSC in the list of Economically Significant Organizations (ESO) on July 12th, 2024. In this connection, the Ministry of Agriculture of the Russian Federation received the right to appeal to the arbitration court with a statement to suspend the Company's implementation of corporate rights in relation to Rusagro Group PJSC.

In accordance with the Russian Federal law No. 470-FZ dated 4th August 2023 (hereinafter referred to as the "Law"), certain categories of persons related to the business entities included in the list, and the federal executive authority authorized by the Government of the Russian Federation received the right to initiate legal proceedings that may result in the transfer of the Russian subsidiary shares to the beneficial owners of the foreign holding company.

The management of Rusagro Group will continue to analyze the situation and take all necessary actions to protect shareholders' rights. Rusagro Group's assets will operate in a standard mode. Also, ROS AGRO PLC informs that inclusion in the list of ESO does not mean that the indicated actions will be initiated on a mandatory basis.
