IMPORTANT EVENT

EVERGENT Investments submitted to Aerostar SA on March 13, 2025 the declaration "by which it exercises its legal right to withdraw from the status of significant shareholder and requested the full purchase of the package of shares representing 15.14% of the share capital" pursuant to art. 134 para. (1) lit. a) of the Law no. 31/1990 on Companies following the adoption and publication of the Resolution of the Extraordinary General Meeting of Shareholders no. 23 of December 12, 2024.

By decision no. 23 of 12.12.2024 E.G.M.S. Aerostar approved, with the majority of valid votes cast, the modification of the company's main object of activity, as from 01.01.2025, in CAEN code 3031 - Manufacture of civil aircraft and spacecraft, following the entry into force of the amendments made to the CAEN codes by INS Order no. 377/2024 on the updating of the Classification of Activities in the National Economy - CAEN, published in the Official Gazette of Romania no. 385 of 25.04.2024.

The change in the codification of the main object of activity had the following considerations:

• The old code "3030 Manufacture of aircraft and spacecraft" is no longer included in the CAEN rev. 3 classification applicable from 01.01.2025, being replaced by two new codes: "3031 - Manufacture of civil aircraft and spacecraft" and "3032 -Manufacture of military aircraft and spacecraft".
• The proposed and adopted code reflects the same main activity "3031 Manufacture of civil aircraft and spacecraft".
