MOTA-ENGIL INFORMS ABOUT A TECHNICAL CIRCUNSTANCE THAT DETERMINES THE APPROVAL OF A SUPPLEMENT TO RECTIFY AN APPROVED AND DISCLOSED PROSPECTUS AND DECIDES TO SUSPEND THE CORRESPONDING OFFERS UNTIL THE DISCLOSURE OF SUCH SUPPLEMENT

Mota-Engil, SGPS, S.A. ("Mota-Engil") hereby informs that it is necessary to replace the ISIN code and the CFI code of the notes Obrigações Taxa Fixa Mota-Engil Julho 2015/Fevereiro 2020 ("ME Feb-2020 Notes") indicated in the prospectus relating to the offering to the public and admission to trading in the regulated market of Euronext Lisbon managed by Euronext Lisbon – Sociedade Gestora de Mercados Regulamentados, S.A. of up to 190.000 ME Feb-2020 Notes, to be issued by Mota-Engil, with a nominal value of €500 and a global amount of up to €95,000,000.00, which amount may be increased, through (i) a public subscription offer of up to 140.000 ME Feb-2020 Notes, with a global amount of up to €70,000,000.00, which amount may be increased, and (ii) a partial and voluntary public exchange offer of up to 50.000 Obrigações Taxa Fixa Mota-Engil 2013/2016, with a global amount of €25,000,000.00, which amount may be increased, for up to 50.000 ME Feb-2020 Notes, as approved by the Portuguese Securities Market Commission on 15 June 2015 and disclosed to the market on the same date ("Prospectus").

In accordance with the applicable legal provisions, in particular articles 142 and 133 of the Portuguese Securities Code, Mota-Engil, in coordination with Caixa – Banco de Investimento, S.A., in its capacity of financial intermediary responsible for the global coordination and assistance to the offers, has decided to suspend the above mentioned offers until the supplement to rectify the Prospectus is published.

Such supplement to the Prospectus may, when published, be consulted on www.cmvm.pt and on www.mota-engil.pt.
