MOTA-ENGIL, SGPS, S.A. ANNOUNCES THE COMMERCIAL REGISTRATION OF ITS SHARE CAPITAL INCREASE

MOTA-ENGIL, SGPS, S.A. ("MOTA-ENGIL") hereby informs that its share capital increase in the amount of € 32,869,446, from € 204,635,695 to € 237,505,141, by means of the issuance of 32,869,446 new ordinary, bookentry, bearer shares with a nominal value of 1 (one) euro each, at the issue price of € 2.4814 per share (of which € 1 corresponds to the respective nominal issue value and € 1.4814 corresponds to share premium), has been registered today in the competent Commercial Registry Office.

This share capital increase was approved on the Shareholder's General Meeting held at 30 November 2015.

The share capital of MOTA-ENGIL is now of € 237,505,141, represented by 237,505,141 ordinary, book-entry bearer shares with a nominal value of 1 (one) euro each.

The new shares will be issued following the above mentioned registration of the share capital increase in the competent Commercial Registry Office and, as of the date they are issued, the new ordinary shares will rank equally in all respects with existing ordinary shares and will entitle their holders to the same rights as those of existing shares, including what concerns the right to receive dividends. It is expected that the 32,869,446 new ordinary shares will be admitted to trading on the regulated market Euronext Lisbon on 4 January 2016, under the ISIN code [PTMEN0AE0005].
