Notice of Dividend Amount • May 27, 2016

DIVIDENDS PAYMENT REGARDING THE YEAR 2015

Under the terms of the law, shareholders are hereby notified that the dividend relating to the 2015 financial year will be payable as from June 9, 2016. The general meeting of Mota-Engil, SGPS, S.A. held on May 25, 2016 approved the following dividend:

Gross dividend per share €0.05*

*Subject to personal/corporate tax in accordance with the Portuguese Tax Law in force at the payment day.

The paying agent appointed for this purpose was Caixa Geral de Depósitos.

The payment of the dividends will be processed through the "Central de Valores Mobiliários" according to the Regulation in force, as they refer to dematerialized securities, under the MEN AE code.

For the purpose of benefiting of tax exemption, or reduction, or elimination of personal/corporate withholding tax rates, shareholders must confirm their tax situation and prove all the relevant facts and information required for application of such benefits to the financial institution in which the respective shares are registered or deposited.

The ex-dividend date is June 7, 2016 and the record date is June 9, 2016.
