MOTA-ENGIL INFORMS ABOUT THE EXECUTION OF A STRATEGIC PARTNERSHIP AND INVESTMENT AGREEMENT WITH CCCC

MOTA-ENGIL S.G.P.S., S.A. ("MOTA-ENGIL") informs that it has concluded with China Communications Construction Company, Ltd. ("CCCC"), - one of the largest infrastructure groups in the world - the strategic partnership and investment agreement ("Agreement") whose essential contours have already been disclosed to the market by a statement of August 27th , 2020 (available at: https://web3.cmvm.pt/sdi/emitentes/docs/FR76712.pdf).

The effectiveness of the Agreement is, however, dependent on the verification of several legal and contractual conditions precedent, including approvals or consents of Governmental Authorities and confirmation by the Portuguese Securities Market Commission ("CMVM") that the Agreement and the operations provided for therein do not impose on CCCC an obligation to launch a takeover bid.

In the scope of the Agreement, Mota Gestão e Participações SGPS, S.A.("MGP"), agreed to sell to CCCC 55 Million Shares at 3.08€ per share.

The General Meeting of Mota-Engil will be summoned shortly to authorize the Board to approve the capital increase, in the terms and conditions to be decided by the Board in due time.
