Lisbon, 5 July 2023

Novabase - Sociedade Gestora de Participacoes Sociais, SA (hereinafter "Novabase") hereby informs, under the terms and for the purposes of article 1 (e) of CMVM Regulation no. 5/2008, that, in compliance with the resolutions taken by the Annual General Meeting held on 24 May 2023, in the terms previously disclosed to the market and following the acquisition by Novabase from Novabase Consulting, SGPS, S.A., of 212,194 (two hundred and twelve thousand, one hundred and ninety four) own shares, Novabase has submitted to registry before the Commercial Registry Office the reduction of its share capital from EUR 835,285.32 (eight hundred and thirty five thousand, two hundred and eighty five euros and thirty two cents) to 795,829.11 EUR (seven hundred and ninety five thousand, eight hundred and twenty nine euros and eleven cents), through:

  • − The cancellation of 1,103,013 (one million, one hundred and three thousand and thirteen) own shares, already held by Novabase on the date of the Annual General Meeting; and
  • − The cancellation of the 212,194 (two hundred and twelve thousand, one hundred and ninety four) own shares subsequently acquired.

This operation has already been registered with the Lisbon Commercial Registry Office.

As a result of the registration of said operation, the share capital of Novabase amounts to 795,829.11 EUR (seven hundred and ninety five thousand, eight hundred and twenty nine euros and eleven cents) being represented by 26,527,637 (twenty six million, five hundred and twenty seven thousand, six hundred and thirty seven) ordinary shares with a nominal value of EUR 0.03 (three cents) each.
