Novabase sells NBASIT-Sistemas de Informação e Telecomunicações, SA

Lisbon, 7 November 2025

Novabase - Sociedade Gestora de Participações Sociais, S.A. ("Novabase") hereby informs, pursuant to and for the purposes of Article 17 of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014, that, after fulfilling the respective conditions precedent, the sale agreement relating to its direct subsidiary NBASIT-Sistemas de Informação e Telecomunicações, S.A., based in Luanda, Republic of Angola, with the local promoter, Mr. Vinhas Lobo, as buyer, as already mentioned in the 2024 Annual Report and Accounts, was concluded today.

In this transaction, all the shares held by the company, representing 99.2% of the capital of NBASIT-Sistemas de Informação e Telecomunicações, S.A. are sold, producing the effects already anticipated in the 2023 and 2024 Reports and Accounts, which are summarized as follows:

• a) Sale for the price of EUR 99,200, with the Company having received the remaining amount of the agreed price today;
• b) Realisation of a capital gain resulting from the sale of EUR 45,000;
• c) Recognition in the results for the financial year of the negative currency translation reserve in the amount of EUR 5,600,000, with no negative impact on cash.

This transaction concludes the exit from the IT Staffing business, following the sale of the Neotalent entity in Portugal and Spain in 2023. This will allow Novabase to focus on developing its strategy around Next-Gen Intelligence solutions.

Novabase will continue to cooperate commercially with the divested entity on matters of interest to both companies.
