MOTA-ENGIL INFORMS ABOUT THE RESULTS OF NEW BOND ISSUE

MOTA-ENGIL S.G.P.S., S.A. (MOTA-ENGIL) informs on the results of the subscription offer of book-entry and nominative notes, representing the new bond issue "Obrigações Ligadas a Sustentabilidade Mota-Engil 2023-2028" ("Mota-Engil 2028 Notes"), launched on 27 November 2023.

The aggregate nominal amount of the issue has been set at €50,000,000. The Mota-Engil 2028 Notes have a maturity date scheduled for 12 June 2028. The issue and settlement of the Mota-Engil 2028 Notes is also expected to occur on 11 December 2023.

Considering that the Mota-Engil 2028 Notes were subscribed in cash at their nominal value and/or in kind, through the exchange of (i) bonds with the ISIN PTMENXOM0006, representative of the bond issuance called "Obrigações Mota-Engil 2019/2024" ("Mota-Engil 2024 Notes") and/or (ii) bonds with ISIN PTMENYOM0005, representative of the bond issuance called "Obrigações Ligadas a Sustentabilidade Mota-Engil 2021-2026" ("Mota-Engil 2026 Notes"), MOTA-ENGIL also informs that will be redeem and cancelled, under the applicable legal and contractual terms, (i) Mota-Engil 2024 Notes in the total amount of €7,446,000, this bond issuance now having a total amount of €76,553,750 and (ii) Mota-Engil 2026 Notes in the total amount of €18,017,000, this bond issuance now having a total amount of €113,982,500.

With this transaction, in which Haitong Bank, S.A. acted as Global Coordinator and Bookrunner, MOTA-ENGIL pursues its strategy of diversifying its financing sources and lengthening of its debt maturity, to better align it with the generation of cash flow.
