HALMA plc VOTING RIGHTS AND CAPITAL In accordance with the Financial Conduct Authority's Disclosure Rules and Transparency Rules, Halma plc ('Halma') confirms that the total number of ordinary 10 pence shares of Halma in issue at 31 January 2015 is 379,645,332. The change results from the issue of shares to meet the exercise of options under the Company's share option plan. Halma holds 1,192,785 shares in treasury after the transfer of 33,062 ordinary shares out of Treasury to participants of the Halma plc Performance Share Plan 2005 in satisfaction of awards which vested in accordance with the Rules of the Plan. Therefore the total number of voting rights in Halma is now 378,452,547. The above figure of 378,452,547 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Halma under the FCA's Disclosure Rules and Transparency Rules.
