("Ross Group", "RGP"  or the "Company")

Placing**The RGP Board of Directors are pleased to announce the placing of 15,000,000 new shares ("the Placing Shares") at a price of 0.88p (being the closing mid-market price the day before the placing representing approximately 8.7% of the existing RGP share capital. The Shares have been placed with GEM Global Yield Fund LLC SCS. The Placing has raised £132,000 for the Company.

The placing will provide working capital for the Company.

The Company will now apply to the United Kingdom Listing Authority for the Placing Shares to be admitted to the Official List and for the shares to be admitted to trading on the London Stock Exchange plc's market for listed securities. The Placing Shares will rank pari passu in all respects with the Company's existing ordinary shares in issue.

Following admission to trading on the Official List, the Company's total issued share capital will be 179,479,428 ordinary shares.

The above figure of 179,479,428 ordinary shares represents the total voting rights in the Company and may be used by shareholders  in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
